Terms of Service

These Terms of Service (“Terms”) govern your use of the Hire Unity website at gohireunity.com and your engagement with Hire Unity’s recruitment and talent placement services. By accessing our Site or engaging our services, you agree to be bound by these Terms. If you do not agree, do not use our Site or services.

1. About Hire Unity

Hire Unity is a recruitment and talent placement firm specializing in sourcing, vetting, and placing remote professionals from Latin America with US-based businesses. Our services include:

  • Strategic role consultation and needs assessment
  • Candidate sourcing, screening, and multi-layered vetting
  • Presentation of qualified, shortlisted candidates
  • Interview facilitation and placement support

Important: Hire Unity acts solely as a recruitment partner, not as an employer of record, staffing agency, or co-employer. Candidates placed through Hire Unity operate as independent contractors engaged directly by the client. Hire Unity has no ongoing employer-employee relationship with placed candidates following placement. The client is solely responsible for all applicable tax withholding, compliance obligations, and legal requirements related to engaging independent contractors in their jurisdiction.

2. Eligibility and Account Responsibility

By using our Site or engaging our services, you represent that you are at least 18 years old, have the legal authority to enter into binding agreements on behalf of your company, and will use our services only for lawful business purposes. You are responsible for maintaining the confidentiality of any account credentials and for all activity that occurs under your account.

3. Candidate Confidentiality and No-Poaching Obligation

All candidates presented by Hire Unity are sourced through our proprietary vetting and recruitment process and represent significant investment of time and resources. By engaging with our services, you agree to the following:

  • You will not directly hire, engage, or contract with any candidate introduced by Hire Unity outside of and in circumvention of our placement process
  • You will not share candidate profiles, resumes, contact information, or any identifying information with third parties without Hire Unity’s prior written consent
  • You will not use the knowledge of a candidate’s identity or availability to engage them through another channel, recruiter, or platform to avoid paying a placement fee

Consequence of violation: If a client circumvents the placement process by engaging a presented candidate directly or through another channel without completing the Hire Unity placement process and paying the applicable placement fee, the full placement fee for that candidate will become immediately due and payable. Hire Unity reserves the right to pursue all available legal remedies, including recovery of damages, attorneys’ fees, and costs incurred in enforcing this provision.

This obligation survives termination of any service engagement and remains in effect for 24 months from the date a candidate was first introduced to the client by Hire Unity.

4. The 6-Month Replacement Guarantee

Hire Unity stands behind every placement with a 6-month replacement guarantee. If a placed candidate voluntarily resigns or is terminated by the client for documented performance reasons within the first six (6) months of their confirmed start date, Hire Unity will source and present a replacement candidate at no additional placement fee, subject to the following conditions:

  • The original placement fee must have been paid in full prior to the guarantee being honored
  • The client must notify Hire Unity in writing within 7 business days of the candidate’s last day of work
  • The guarantee covers one (1) replacement candidate per original placement
  • The replacement process will follow the same vetting and presentation procedure as the original placement

The replacement guarantee does not apply if: the client materially changes the role’s requirements, compensation, scope, or conditions from those agreed upon at the time of the original placement; the candidate’s departure was caused by the client’s conduct, hostile work environment, or breach of any agreement with the candidate; or the client fails to notify Hire Unity within the required timeframe.

The replacement guarantee is Hire Unity’s sole obligation in the event of a placement not working out. It is not a warranty of any specific outcome and does not guarantee the performance, conduct, productivity, or retention of any replacement candidate.

5. Payment Terms

Hire Unity operates on a transparent, one-time placement fee model with no ongoing fees, no monthly subscriptions, and no payroll markups.

  • Placement fee: A one-time fee is charged upon successful candidate placement. The fee amount will be agreed upon in writing prior to the start of any search engagement.
  • Due date: The placement fee is due upon the candidate’s confirmed start date and must be paid within 14 business days of that date.
  • Late payment: Invoices not paid within 14 business days may accrue interest at a rate of 1.5% per month (18% annually) on the outstanding balance, or the maximum rate permitted by applicable law, whichever is lower. Hire Unity reserves the right to suspend services for accounts with outstanding unpaid invoices.
  • Direct compensation: The client pays the placed candidate directly at the rate agreed upon between the client and the candidate. Hire Unity does not process, handle, or mark up candidate compensation in any way.
  • No recurring fees: There are no ongoing management fees, subscription fees, or service retainers. You engage Hire Unity on a per-placement basis.
  • Refund policy: Placement fees are non-refundable except as provided by the 6-month replacement guarantee in Section 4.

6. Client Responsibilities

By engaging Hire Unity’s services, the client agrees to:

  • Provide accurate and complete information about the role, responsibilities, compensation, and any other material requirements
  • Respond to candidate submissions and scheduling requests in a timely manner to facilitate the placement process
  • Treat all candidates and Hire Unity staff with professionalism and respect
  • Comply with all applicable employment, contractor, and labor laws in their jurisdiction when engaging placed candidates
  • Notify Hire Unity promptly of any issues, concerns, or changes affecting an active placement

Hire Unity is not responsible for delays in placement or unsuccessful engagements resulting from the client’s failure to fulfill these responsibilities.

7. SMS/Text Messaging

By providing your phone number and opting in to receive text messages from Hire Unity, you agree to the following terms regarding SMS communication:

Hire Unity may send you text messages related to your staffing inquiry, including follow-ups, consultation scheduling, and service updates. Messages are sent using automated technology through our recruitment platform.

Message frequency may vary depending on your inquiry and communication needs. Message and data rates may apply based on your mobile carrier plan.

You can opt out at any time by replying STOP to any message. After opting out, you will no longer receive SMS messages from us. For help, reply HELP.

Your phone number will be used solely for staffing and recruitment-related communication. We do not sell or share your mobile number with third parties for marketing purposes.

8. Intellectual Property

All content on the Hire Unity Site, including text, graphics, logos, and design elements, is the property of Hire Unity or its licensors and is protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works from any Site content without our prior written consent. Candidate profiles and materials shared with you during a search engagement are provided solely for your internal evaluation purposes and may not be reproduced or redistributed.

9. Disclaimer of Warranties

The Hire Unity Site and services are provided “as is” and “as available” without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Hire Unity does not warrant that the Site will be uninterrupted, error-free, or free of viruses or other harmful components. Hire Unity does not guarantee the performance, conduct, reliability, or continued availability of any placed candidate.

10. Limitation of Liability

To the maximum extent permitted by applicable law, Hire Unity’s total liability to you for any claims arising out of or related to these Terms or our services shall not exceed the placement fee paid by you for the specific placement giving rise to the claim. Hire Unity is not liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost revenue, lost data, or loss of goodwill, even if Hire Unity has been advised of the possibility of such damages.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, Hire Unity’s liability will be limited to the fullest extent permitted by law.

11. Indemnification

You agree to indemnify, defend, and hold harmless Hire Unity and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to: your use of our services; your violation of these Terms; your violation of any applicable law or regulation; your treatment of or agreements with placed candidates; or your infringement of any third-party rights.

12. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of California, without regard to its conflict of law provisions. Any disputes arising out of or related to these Terms or our services that cannot be resolved informally will be submitted to binding arbitration under the rules of the American Arbitration Association, with proceedings conducted in Woodland Hills, CA. Each party waives the right to a jury trial and the right to participate in a class action. Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent irreparable harm.

13. Changes to These Terms

We reserve the right to update or modify these Terms at any time. We will post the revised Terms on this page with an updated “Last updated” date. For material changes, we will make reasonable efforts to notify you, which may include an email to the address on file. Your continued use of our Site or services after such changes constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you should discontinue use of our services.

14. Miscellaneous

  • Entire Agreement: These Terms, together with any written service agreements or engagement letters, constitute the entire agreement between you and Hire Unity regarding our services and supersede all prior agreements and understandings.
  • Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
  • Waiver: Hire Unity’s failure to enforce any provision of these Terms shall not constitute a waiver of that provision.
  • No Agency: Nothing in these Terms creates a partnership, joint venture, agency, franchise, or employment relationship between you and Hire Unity.
